Taxation Practice
The firm's tax attorneys provide professional tax advice to clients seeking to avoid tax problems as well as those already involved in disputes with federal, state, municipal and local tax authorities. Our tax department has significant experience counseling individuals, for-profit and not-for-profit corporations, partnerships, professional associations, limited liability companies, co-operatives and real estate investment trusts with respect to international, U.S., state and local taxation matters. Some of the many services that we can provide to clients include:
* guidance with respect to choice of entity decisions;
* structuring and planning of corporate reorganizations, acquisitions and dispositions, both taxable and non-taxable;
* structuring and planning of compensation packages, including the use of qualified and non-qualified stock options, phantom stock, share appreciation rights and other types of fringe benefits;
* general and specific assistance with respect to qualified retirement planning;
* integrated income tax and estate planning advice for business owners and highly compensated executives;
* representing taxpayers before the Internal Revenue Service at the civil audit and appellate conference stages;
* representing taxpayers in actions brought before the United States Tax Court and the United States District Courts;
* representing businesses and individuals in criminal tax investigations and proceedings;
* representing taxpayers in a wide variety of proceedings with respect to the assessment, payment and collection of sales and use taxes, employment taxes, property taxes, and all types of other state and local taxes; and
* advice and representation of other tax professionals concerning compliance with IRS Circular 230 and the reporting requirements imposed on "material advisors" by the Internal Revenue Code.
The primary goal of our tax attorneys in representing every client is to assist the client in achieving the clients' goals while minimizing overall tax costs. To accomplish this goal, we work closely not only with our clients but also with our clients' accountants, financial planners and other professional advisers. Years of experience representing both small and large businesses with national and international interests often enables us to provide clients with creative and innovative methods of limiting their overall tax exposure.
When necessary, our tax department is able to call upon experienced litigators for specialized support in pursuing reductions in taxes before county Boards of Revision as well as the Board of Tax Appeals.
Taxation is one of the few areas in which our firm regularly represents clients in criminal proceedings. We recognize the close ties that generally exist between a criminal tax prosecution and civil tax proceedings and our approach with respect to both is to seek solutions that have the least punitive impact upon our clients.
